Terms of Service

These Terms of Service ("Terms") govern your use of the AgntSpark platform, including the website at agntspark.com, the console and API at agntapi.agntspark.com, the SDK and command-line tool, and agents hosted at *.run.agntspark.com (together, the "Service"). The Service is provided by AgntSpark LLC, a Wyoming limited liability company ("AgntSpark", "we", "us").

By creating an account or using the Service you agree to these Terms. If you use the Service for an organization, you agree on its behalf and confirm you have authority to do so. If you don't agree, don't use the Service.

1. The Service

AgntSpark hosts software agents ("Agents") that you configure or supply, runs them in containers, and makes each one reachable at its own URL.

Alpha. The Service is in an invite-only alpha. Features, limits and prices may change, and the Service may be interrupted or discontinued. There is no service level agreement during the alpha.

2. Accounts

• You must be at least 18 years old, or the age of majority where you live if that is higher.
• Registration requires an invite code during the alpha. Invite codes are for the person or organization they were given to.
• Keep your password, API keys and access keys confidential. You are responsible for everything done with your account and keys, and must tell us promptly at admin@agntspark.com if you believe they have been compromised.
• Information you give us must be accurate and kept up to date.

3. Your content and your Agents

"Your Content" means everything you or your Agents' users submit to or through the Service: agent configurations, prompts, container images, code, environment variables, model provider keys, and requests to and responses from your Agents.

• Ownership. You keep all rights to Your Content.
• License to us. You grant AgntSpark a worldwide, non-exclusive, royalty-free license to host, store, copy, transmit, run and process Your Content only as needed to provide, secure and support the Service and to comply with law.
• Your responsibility. You are responsible for Your Content and your Agents: what they do, what they say, the data they process, and their compliance with law and with the terms of any third party they use. You confirm you have the rights needed for Your Content, including container images and any data your Agents handle.
• Model providers. When you give an Agent a key for a model provider (for example OpenAI, Anthropic or Google), your Agent calls that provider under your own agreement with it, and you pay that provider directly. We are not responsible for model providers or their outputs.
• AI output. Agent output can be inaccurate or inappropriate. Don't rely on it without appropriate review, and don't use Agents to make decisions with legal or similarly significant effects on people without human oversight.
• Public access. An Agent set to public can be called by anyone who obtains its URL, and agent URLs can become publicly known. Keeping an Agent private, and its access keys secret, is your responsibility.

4. Acceptable use

You must follow the Acceptable Use Policy, which is part of these Terms.

5. Plans, fees and payment

• Plans. The free plan and paid plans have the limits described in our plans documentation. We may change the free plan's limits at any time.
• Fees. Paid plans are billed in advance, monthly, in US dollars, at the price shown when you subscribe (Pro is currently $29 per month), plus applicable taxes. Payments are processed by Stripe; we do not store your card details.
• Renewal and cancellation. Subscriptions renew automatically each month until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period, and the account then returns to the free plan's limits. Running Agents that exceed those limits may keep running, but you cannot add resources until the account is back under them.
• Refunds. Fees are non-refundable except where required by law.
• Failed payments. If a payment fails, we may move the account to the free plan.
• Price changes. We will give at least 30 days' notice of a price increase for an existing subscription; it applies from the next billing period after the notice.

6. Suspension and termination

• You may stop using the Service and delete your Agents at any time. To delete your account, email admin@agntspark.com from the address on the account.
• We may suspend or restrict an Agent or account immediately if we reasonably believe it breaches these Terms or the Acceptable Use Policy, creates a security or legal risk, harms the Service or others, or if required by law. Where practical and lawful, we will tell you why.
• We may terminate these Terms for convenience with 30 days' notice, or immediately for material breach.
• On termination, your right to use the Service ends. We delete Your Content within 30 days, except copies in backups, which expire on their normal schedule, and anything we must keep by law.

7. Data protection and security

Our Privacy Policy explains how we handle personal data. We use reasonable technical and organizational measures to protect the Service, but no system is completely secure. Agents of different customers run on shared infrastructure.

Unless we agree otherwise in writing, don't use the Service for data subject to special regulation, such as protected health information under HIPAA, payment card data under PCI DSS, or personal data of children.

If your Agents process personal data on your behalf and you need a data processing agreement, contact us at admin@agntspark.com.

8. Third-party services

The Service relies on and interoperates with third-party services, for example cloud hosting, DNS, payments, certificate authorities, model providers and container registries. Their availability and terms are outside our control.

9. Feedback

If you send us feedback or suggestions, we may use them without obligation to you.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, AGNTSPARK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• AGNTSPARK IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY; AND
• AGNTSPARK'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID AGNTSPARK IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) US$100.

Some jurisdictions don't allow these limitations; there, they apply to the extent allowed.

12. Indemnity

You will defend and indemnify AgntSpark against third-party claims, and related losses and costs, arising from Your Content, your Agents, or your breach of these Terms or of law.

13. Changes to these Terms

We may update these Terms. For material changes we will notify you by email or in the console at least 30 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction. Nothing in this section limits rights you have under consumer protection laws that cannot be waived.

15. General

These Terms, with the Acceptable Use Policy and Privacy Policy, are the entire agreement about the Service. If a provision is unenforceable, the rest remains in effect. Not enforcing a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
